Personal Branding membership Terms and Conditions**

**Parties**
Herein, "Parties" refers to all the individuals and businesses entering into this Agreement.

**Purpose of the Agreement**
Client wishes to hire Ati.G.Branding LLC to provide services relating to a membership that includes 15 professional photos and 3 b-roll videos as detailed in this Agreement. Ati.G.Branding LLC has agreed to provide such services according to the terms of this Agreement.

**Services**
Ati.G.Branding LLC or an authorized associate will provide Client with the following services and/or products ("Services"):

- 15 professional photos
- 3 b-roll videos

**Location and Delivery of Services**
Ati.G.Branding LLC or an authorized associate shall deliver Services to the client at the following location(s):

Locations vary from month to month, including but not limited to Bottega Exchange, luxurious homes, solid backgrounds to outdoor locations.

**Delivery of Services**
- Ati.G.Branding LLC or an authorized associate will provide photoshoot with a final 15 images delivered per photoshoot and 3 b-roll videos at the designated monthly location, 1 per quarter.
- Images and videos will be made available within 15 business days. ( after selection)
- Additional images available for purchase at $9 each.

**Cost, Fees, and Payment**

The total cost ("Total Cost") for all Services is $200 per month or receive an extra month if paid in full for $1200.

The first 6 months are like a non-refundable auto-payment retainer.
After the first 6 months, the client will be billed on a month-to-month basis.
At a minimum, the client agrees that the retainer fee fairly compensates Ati.G.Branding LLC for committing to provide the services and turning down other potential projects/clients.

- After your 6-month commitment is up, you will be billed month to month (not commitment) due.
- Any credits accumulated are lost after membership is canceled.
- We require a 1-month courtesy cancellation notice if you are not going to stay on the membership after your 6 months.

**Additional Benefit**:
All credits in this membership can be used towards a 1:1 photoshoot with Ati G Branding at Ati.G.Branding regular photoshoot prices.

**Exclusivity**

The client understands and agrees that he/she has hired Ati.G.Branding LLC exclusive of any other service provider. In order to provide a high level of satisfaction and quality of service, no other service providers, other than any assistant or third party that Ati.G.Branding LLC or an authorized associate hires to complete the Services outlined in this Agreement, are permitted to provide the same or similar services or products, paid or unpaid, at the locations and dates specified in this Agreement.

**Intellectual Property**
Copyright Ownership: In the event that any copyrighted work(s) are created as a result of the Services provided by Ati.G.Branding LLC or an authorized associate in accordance with this Agreement, Ati.G.Branding LLC owns all copyrights in any and all work(s) it creates or produces pursuant to federal copyright law (Title 17, Chapter 2, Section 201-02 of the United States Code), whether registered or unregistered. Any and all products, whether tangible or intangible, produced or created in connection with, or in the process of fulfilling this Agreement, are expressly and solely owned by Ati.G.Branding LLC and may be used in the reasonable course of Ati.G.Branding LLC's business.

Permitted Uses of Product(s): Ati.G.Branding LLC grants to Client a non-exclusive license of product(s) produced with and for Client for personal and commercial use.

Commercial use includes as follows:
- In photos on the Client's personal and business social media pages or profiles; or
- In personal and commercial PRINT materials such as flyers, personal business cards, and/or brochures.

In the case of Commercial publications such as third-party magazines, newspapers, or online features, Clients agree to give Ati.G.Branding LLC Credit by stating Photograph: Ati Grinspun Photography and/or @Ati.G.Branding.

**Cancellation, Rescheduling, and No-Shows**

If the Client desires to cancel Services, he/she may do so in a written email 30 days before the next payment is due. All credits are forfeited with cancellation.

If the Client schedules a shoot but fails to show up (no show no call), it forfeits the photoshoot and a fee of $50 will be charged to the credit card on file, and no makeup of the session will be provided.

Reschedules are available upon request. A 24-hour courtesy email is REQUIRED. RESCHEDULE through CALENDLY or email ONLY. NO TEXTS OR VOICEMAILS.

The client is not relieved of any payment obligations for canceled Services, rescheduled Services, or failing to show up for the session, or should it become impossible for Ati.G.Branding LLC to provide the services due to the fault of the Client (or parties related to the Client).

You can reschedule your SHOOT for another month as long as you CANCELLED WITHIN 24 hours. No rollovers or Cancellations are allowed 24 hours before the beginning of PHOTOSHOOT.

**Artistic Release**
The client has spent a satisfactory amount of time reviewing Ati.G.Branding LLC's work and has a reasonable expectation that Ati.G.Branding LLC will perform the Services in a similar manner and style unless otherwise specified in this Agreement.

I, hereby grant Ati.G.Branding LLC and its affiliates, employees, agents, and independent contractors the irrevocable and unrestricted right to use and publish photographs and videos taken of me during the session listed above, for any purpose, including but not limited to marketing, advertising, and promotion of Ati.G.Branding LLC's services and products.

I release Ati.G.Branding LLC and its legal representatives, successors, and assigns from all claims and liability relating to said photographs and videos. I understand that no financial or other consideration will be provided to me for the use of these photographs and videos.

I am of legal age and have the right to contract in my own name. I have read this release and fully understand its contents.
